Acceptable Use Policy
This Policy defines what you may and may not do on the YorN platform. Violations may result in account suspension, termination, or referral to law enforcement.
IMPORTANT: This document is a draft template and has NOT been reviewed by legal counsel. It must be reviewed and finalized by a qualified attorney specializing in fintech, securities law, and consumer protection before being published or relied upon. Sylum makes no representation that this draft is legally sufficient or enforceable.
1. Scope and Application
This Acceptable Use Policy ("AUP") applies to all users ("you," "your") of the YorN platform (the "Service") operated by Sylum ("Company," "we," "us," "our"). By accessing or using the Service, you agree to comply with this AUP, our Terms of Service, our Privacy Policy, and our Risk Disclosure Statement. Violation of this AUP is a breach of those Terms.
This AUP supplements but does not limit the prohibitions in our Terms of Service. Where this AUP and the Terms conflict, the more restrictive provision applies.
2. Prohibited Trading Conduct
You must not use the Service to engage in any conduct that constitutes market manipulation or fraud under applicable law, including but not limited to:
- Wash trading — entering into trades with yourself, controlled accounts, or coordinated counterparties to create false volume or price signals.
- Spoofing or layering — placing orders without intent to execute, including bid/ask manipulation designed to mislead other market participants.
- Front-running — using non-public information about another user's pending orders, including marketplace strategy purchases, to trade ahead of those orders.
- Pump-and-dump or similar coordinated schemes — colluding with others to inflate or deflate market prices for personal gain at the expense of other participants.
- Insider trading — trading on the basis of material non-public information obtained from privileged positions, including but not limited to information from employers, government roles, or contractual relationships.
- Cross-market manipulation — coordinated trading on YorN, Kalshi, Polymarket, or other venues with the purpose of distorting prices on any of those venues.
You are responsible for understanding the trading-conduct laws applicable to you. Conduct that is lawful in one jurisdiction may be unlawful in another. When in doubt, do not engage in the conduct.
3. Account Integrity
One natural person, one account. You may not:
- Create or maintain more than one account, except where Sylum has explicitly authorized a multi-account arrangement in writing (e.g., institutional or organizational accounts).
- Share, lend, sell, or transfer your account, credentials, or session tokens to another person.
- Use false, stolen, synthetic, or another person's identity to register an account.
- Operate accounts on behalf of users barred from the Service (including users we have suspended or terminated).
- Operate accounts on behalf of users in jurisdictions where the Service is not available, including U.S. states or non-U.S. jurisdictions where prediction market trading is prohibited.
We use behavioral, device, and network signals (IP address, device fingerprint, transaction patterns) to detect multi-accounting and Sybil patterns. Detection results in immediate suspension pending investigation.
4. Automation and API Use
YorN agents are designed to automate trading on your behalf within the Service's intended workflow. You may not:
- Scrape, crawl, or systematically access the Service outside of documented APIs.
- Reverse-engineer, decompile, or extract proprietary algorithms, models, or data from the Service.
- Use the Service to extract market data, agent strategies, or trade history belonging to other users without authorization.
- Operate automated systems that exceed published rate limits, including by rotating accounts or IP addresses to evade limits.
- Submit excessive load that interferes with Service availability for other users.
- Use the Service in any manner that places undue strain on Kalshi, Polymarket, or any third-party exchange the Service connects to, including conduct that would violate that exchange's own terms of service.
5. Marketplace Conduct
The YorN Marketplace ("Marketplace") allows users to publish, purchase, and review prediction-market trading strategies. When using the Marketplace, you must not:
- Publish strategies that misrepresent performance — including fabricated backtest results, performance figures from periods other than those disclosed, or results obtained under conditions (capital, fee schedule, slippage assumptions) materially different from those a buyer would experience.
- Engage in review manipulation — including soliciting, paying for, or coordinating reviews; reviewing your own strategies through alternate accounts; or downvoting competitor strategies through alternate accounts.
- Publish strategies that depend on illegal conduct — including strategies that exploit insider information, require market manipulation, or depend on prohibited cross-market behavior.
- Misrepresent your identity, credentials, or qualifications as a strategy author. You may use a pseudonym, but you may not impersonate another person, fund, or institution.
- Upload or publish content that infringes third-party intellectual property, contains malware, or violates the privacy of others.
Strategy publishers must comply with the additional obligations in our Marketplace Seller Agreement.
6. Communications and Content
Across all communication surfaces — strategy descriptions, agent prompts, marketplace listings, reviews, customer support — you must not:
- Post content that is unlawful, defamatory, harassing, threatening, or that incites violence.
- Post content that promotes hate based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
- Post sexually explicit content, content depicting minors in sexual contexts, or other content prohibited under applicable child-protection laws.
- Post personally identifiable information about another person without their consent ("doxxing").
- Post content designed to circumvent the Service's content-moderation systems (including obfuscated text, homoglyphs, or zero-width character stuffing).
- Use the Service's communication surfaces to send unsolicited promotional messages ("spam") to other users.
- Impersonate Sylum employees, support staff, or affiliated entities.
7. Money-Laundering, Sanctions, and Financial Crime
You represent and warrant that:
- You are not on, and will not transact with parties on, any U.S. Treasury Department Office of Foreign Assets Control ("OFAC") sanctions list, EU consolidated list, UK HMT list, or equivalent national sanctions lists.
- You are not located in, organized under the laws of, or a resident of any jurisdiction subject to comprehensive OFAC sanctions (currently including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions).
- Funds you deposit, trade with, or withdraw via the Service are not the proceeds of unlawful activity.
- You will not use the Service to launder funds, structure transactions to evade reporting thresholds, or facilitate the financing of terrorism or other prohibited activity.
We may suspend or terminate accounts, freeze withdrawals, and report to law enforcement based on transaction patterns consistent with money-laundering or sanctions evasion.
8. Tax and Reporting Obligations
You are solely responsible for determining and complying with your tax obligations on income earned through the Service, including trading gains and Marketplace seller revenue. Sylum may issue Form 1099-K or equivalent tax forms to U.S. Marketplace sellers who exceed applicable thresholds, and may withhold and remit taxes as required by law.
You must promptly provide accurate tax information (TIN, address, jurisdiction) when requested. Providing false information is grounds for suspension and may be reported to tax authorities.
9. Security
You must:
- Maintain a strong, unique password and enable multi-factor authentication on your account.
- Promptly notify us of any unauthorized access to your account, suspected compromise of credentials, or unusual activity.
- Keep your contact information (email, phone) current so we can reach you for security alerts.
- Refrain from probing, scanning, or testing the security of the Service except under an authorized bug-bounty engagement.
- Refrain from disabling, evading, or interfering with security features of the Service, including biometric step-up authentication, MFA challenges, or device-binding controls.
Security research conducted under our coordinated-disclosure program (contact security@yorn.ai) is welcome and will not be treated as a violation of this AUP. Unauthorized testing — including automated vulnerability scanners and unauthorized penetration testing — is prohibited.
10. Reporting Violations
If you observe behavior that violates this AUP — including suspected market manipulation, multi-accounting, marketplace fraud, or harmful content — please report it to abuse@yorn.ai. Reports are reviewed by our trust-and-safety team and acted on as appropriate. We do not disclose reporter identity to subjects of investigation except as required by law.
Knowingly false reports made for the purpose of harming other users are themselves a violation of this AUP and may result in suspension.
11. Enforcement
We may enforce this AUP through a graduated-response framework that includes (but is not limited to):
- Warnings — for first-time minor violations, we may issue a written warning and require corrective action.
- Feature restrictions — we may temporarily disable specific features (live trading, marketplace publishing, agent creation) pending investigation or remediation.
- Account suspension — for substantial violations, we may suspend the account pending investigation. During suspension, open positions remain subject to market risk; you remain responsible for the consequences of those positions.
- Account termination — for severe or repeated violations, we may terminate the account permanently. Any positive balance is returned via the original deposit method, less any amounts owed to Sylum or third parties.
- Referral to authorities — for conduct that may constitute a crime (including market manipulation, money laundering, and fraud), we may report to law enforcement, regulators, and exchanges, and may freeze related funds pending their investigation.
- Civil action — we reserve the right to pursue civil remedies, including injunctive relief and damages, for violations that harm Sylum or third parties.
Enforcement decisions are made at our sole discretion based on our investigation. We may rely on automated detection systems, human review, or both. We are not obligated to provide a hearing, appeal, or particular procedural protections beyond those required by applicable law.
12. Changes to this AUP
We may update this AUP at any time. Material changes (including new categories of prohibited conduct or significant changes to enforcement) will be communicated to users via the Service and via email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated AUP.
Versioned copies of this AUP are retained and accessible by request to legal@yorn.ai.
13. Severability and Governing Law
If any provision of this AUP is held unenforceable, the remaining provisions continue in full force. This AUP is governed by the laws of the State of California, without regard to conflict-of-laws principles, consistent with the governing-law provision of the Terms of Service.
