Terms of Service
Please read these terms carefully before using the YorN platform. By accessing or using our Service, you agree to be bound by these Terms.
IMPORTANT: This document is a draft template and has NOT been reviewed by legal counsel. It must be reviewed and finalized by a qualified attorney specializing in fintech, securities law, and consumer protection before being published or relied upon. Sylum makes no representation that this draft is legally sufficient or enforceable.
1. Acceptance of Terms
By creating an account, accessing, or using the YorN platform (the "Service") operated by Sylum ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and our Risk Disclosure Statement, each of which is incorporated herein by reference. If you do not agree to all of these Terms, you must not access or use the Service.
You represent and warrant that you are: (a) at least 18 years of age (or 21 in jurisdictions where required); (b) legally competent to enter into binding agreements; (c) not barred from using the Service under the laws of your jurisdiction; and (d) legally permitted to participate in prediction market trading in your jurisdiction. You are solely responsible for ensuring your use of the Service complies with all applicable local, state, federal, and international laws and regulations.
These Terms constitute a legally binding agreement between you and Sylum. Your continued use of the Service after any modifications to these Terms constitutes acceptance of the modified Terms.
2. Description of Service
YorN is a no-code AI agent builder for prediction market trading. The Service provides tools and infrastructure that allow you to:
- Create, configure, and deploy autonomous AI trading agents using natural language descriptions or custom Python code
- Connect to supported prediction market exchanges (currently Kalshi and Polymarket) via API keys you provide
- Utilize a conversational AI workspace ("Strategy Lab") that generates trading strategy code, backtests strategies, and runs market simulations
- Deploy self-learning agents that autonomously analyze their performance and propose strategy mutations through a governed pipeline
- Coordinate multiple agents in teams using various collaboration modes (Swarm, Council, Pipeline, Deliberation, Crowd Simulation)
- Run crowd simulations with up to 10,000 virtual market participants to model market dynamics
- Monitor agent performance through real-time dashboards, analytics, and a terminal feed
- Test strategies in paper trading mode before deploying with real funds
- Access and publish strategies through a community marketplace
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We reserve the right to modify, suspend, limit, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.
3. Account Registration and Security
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the security and confidentiality of your account credentials, including passwords and API keys
- All activity that occurs under your account, whether or not authorized by you
- Securely storing and managing your exchange API credentials (Kalshi, Polymarket) which are encrypted at rest on our servers but transmitted by you at your own risk
- Securely storing and managing your LLM provider API keys (OpenAI, Anthropic, etc.) if you choose to provide your own
- Promptly notifying us at security@yorn.ai of any unauthorized access to or use of your account
We reserve the right to suspend or terminate accounts that: (a) provide false or misleading information; (b) violate these Terms; (c) engage in fraudulent, abusive, or illegal activity; or (d) pose a security risk to our infrastructure or other users.
You may not share your account with any other person or entity, nor may you create multiple accounts for the purpose of circumventing usage limits or these Terms.
4. Trading and Financial Risks
CRITICAL RISK WARNING: YorN is NOT a registered investment advisor, broker-dealer, financial planner, commodities trading advisor, or any other regulated financial professional under any jurisdiction. Nothing on this platform constitutes financial advice, investment advice, trading advice, tax advice, or any other form of professional advice.
Trading on prediction markets involves substantial risk of loss, including the potential loss of your entire invested capital. Past performance of any AI agent, strategy, backtest, or simulation does not guarantee, predict, or indicate future results. You should not trade with money you cannot afford to lose entirely.
By using YorN, you expressly acknowledge, understand, and agree that:
- All trading decisions are ultimately your own responsibility, including decisions to deploy AI agents that trade autonomously on your behalf
- There are absolutely no guarantees of profit, return, or protection against loss
- Market conditions can change rapidly, unpredictably, and adversely
- AI agents may execute trades that result in partial or total financial loss
- Prediction market liquidity may be thin, resulting in unfavorable execution prices
- Regulatory changes could affect the legality, availability, or settlement of prediction market contracts
- Exchange outages, API failures, or network disruptions may prevent trade execution or lead to unintended positions
- Prediction market regulations vary by jurisdiction and compliance with all applicable laws is your sole responsibility
- The CFTC, SEC, or other regulatory bodies may take enforcement actions that affect prediction market trading, and Sylum bears no responsibility for regulatory developments
You acknowledge that you have read and understood our separate Risk Disclosure Statement, which provides additional detail on the specific risks associated with AI-assisted prediction market trading.
5. AI Agents, Self-Learning, and Autonomous Trading
AI systems, including the agents you build on YorN, can and do make errors. AI-generated strategies are probabilistic in nature and may produce unexpected, undesirable, or financially harmful results. Self-learning agents autonomously modify their own strategies, which introduces additional and compounding risks.
5.1 Agent Responsibility
You are solely and entirely responsible for all trades executed by agents you create, configure, deploy, or install from the marketplace. This includes, without limitation:
- Trades executed correctly according to your strategy parameters
- Trades executed due to AI model errors, misinterpretation of data, or unexpected behavior
- Trades executed during periods when you are not actively monitoring the Service
- Trades executed by self-learning agents that have autonomously modified their strategies
- Trades executed by agents operating in team coordination modes where multiple agents influence decisions
5.2 Self-Learning and Mutation Pipeline
YorN offers self-learning agents that autonomously analyze their trading performance and propose modifications ("mutations") to their strategies. When you enable self-learning features, you acknowledge that:
- Agents may autonomously change their strategy parameters, signal thresholds, position sizing, and risk rules
- Mutations pass through a governed pipeline (analysis, paper testing, evaluation, promotion or rollback), but this pipeline does not eliminate the risk of adverse changes
- If you enable "auto-mode," mutations are applied without your manual approval, and you accept all risks of autonomously applied changes
- The governance system (circuit breakers, harness cases) provides safety guardrails but is not infallible and may not prevent all adverse outcomes
- You are responsible for reviewing mutation proposals and monitoring agent behavior, particularly after strategy changes are applied
5.3 Custom Code Execution
The Strategy Lab feature allows AI to generate Python code that runs on our servers. When you use custom code features:
- You are solely responsible for the behavior and consequences of any code generated, modified, or executed through your account
- Custom code is validated through AST (Abstract Syntax Tree) safety checks and sandboxed execution, but no security measure is guaranteed to prevent all forms of unintended behavior
- Sylum is not liable for any losses, damages, or unintended consequences arising from the execution of custom strategy code
- You agree not to intentionally or negligently introduce code that is designed to harm, disrupt, or exploit the Service or its infrastructure
5.4 Backtesting, Simulations, and Projections
Backtesting results, Monte Carlo simulations, crowd simulations, walk-forward analysis, and all other analytical outputs provided by the Service are:
- Based on historical or synthetic data and do not predict, guarantee, or indicate future performance
- Subject to limitations including survivorship bias, look-ahead bias, and curve fitting
- Dependent on fill model assumptions that may not reflect actual market execution conditions
- Not a substitute for independent analysis, professional financial advice, or your own judgment
6. Third-Party Exchanges and Services
YorN connects to third-party prediction market exchanges (currently Kalshi and Polymarket) and may integrate with third-party LLM providers (including Anthropic, OpenAI, and others). With respect to these third parties:
- Sylum is not affiliated with, endorsed by, or responsible for Kalshi, Polymarket, or any other exchange
- Your use of any exchange is governed by that exchange's own terms of service, which you must separately accept
- Exchange outages, API changes, rate limits, or policy changes may affect the Service's ability to execute trades, and Sylum is not responsible for any losses resulting from such events
- Your API credentials are encrypted at rest on our servers but you provide them at your own risk
- LLM providers process your agent prompts and strategy descriptions according to their own privacy policies and terms; Sylum is not responsible for how LLM providers handle or retain your data
- Market data, prices, and other information displayed on the Service are sourced from third parties and may be delayed, inaccurate, or incomplete
7. Paper vs Live Trading
YorN offers two trading modes:
- Paper Trading — Simulated trading using virtual funds. No real money is at risk. Paper trading uses synthetic or delayed data and simulated fill models. Paper trading results may differ significantly from live trading results due to differences in execution latency, slippage, market impact, liquidity, and fill probability. Paper trading performance should not be used as the sole basis for deploying a live trading strategy.
- Live Trading — Real trades executed on connected prediction market exchanges using real funds from your exchange accounts. All profits and losses are real and irrevocable. By enabling live trading mode, you expressly accept full responsibility for all financial outcomes, including total loss of capital.
We strongly recommend that all users test strategies extensively in paper trading mode before transitioning to live trading, and that you start with small position sizes when first deploying a live strategy.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, exchange rules, or third-party rights
- Manipulate markets or engage in any form of market abuse, wash trading, spoofing, layering, or other deceptive trading practices
- Circumvent trading limits, position limits, or restrictions imposed by connected exchanges
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the platform
- Use the Service to launder money, finance terrorism, or engage in any other illegal activity
- Share your account credentials or allow unauthorized third parties to access your account
- Interfere with, disrupt, or impose an unreasonable burden on the operation of the Service or its infrastructure
- Scrape, harvest, crawl, or collect data from the platform without express written authorization
- Upload or execute code designed to harm, exploit, or compromise the Service, other users, or connected exchanges
- Use the Service to trade on material non-public information ("insider trading") or to engage in any activity that would constitute securities fraud
- Create accounts for the purpose of circumventing usage limits, bans, or these Terms
9. Marketplace
The YorN Marketplace allows users to publish, share, and install agent strategies created by other users.
9.1 For Users Installing Marketplace Strategies
- Marketplace strategies are created by third-party users, not by Sylum
- Sylum does not review, endorse, guarantee, or warrant the performance, safety, or suitability of any marketplace strategy
- Past performance of a marketplace strategy does not guarantee future results
- You are solely responsible for evaluating any marketplace strategy before deploying it with real funds
9.2 For Users Publishing Marketplace Strategies
- You retain ownership of strategies you create and publish
- By publishing a strategy to the marketplace, you grant Sylum and other users a non-exclusive, royalty-free (except as specified by revenue sharing terms), worldwide license to use, install, and modify that strategy
- You represent that your published strategies do not infringe on any third-party intellectual property rights
- Sylum reserves the right to remove any marketplace listing that violates these Terms or is reported for inaccuracy, fraud, or other violations
10. Subscription, Billing, and Fees
YorN offers the following subscription tiers:
- Subscriptions are billed monthly and renew automatically unless cancelled prior to the renewal date
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of the current billing period; no partial refunds are provided
- We reserve the right to change pricing with 30 days' written notice to existing subscribers
- Free tier users may be subject to feature limitations, usage caps, and rate limits
- Sylum does not charge trading commissions or take a percentage of your trading profits. All exchange fees are charged by the exchange directly.
All payments are processed securely through Stripe, Inc. We do not store your full payment card details on our servers. Stripe's Privacy Policy governs the handling of your payment information.
11. Intellectual Property
The YorN platform, including its design, source code, algorithms, documentation, branding, and all related intellectual property, is owned by Sylum and protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws.
- You retain ownership of the agent configurations, custom strategy code, and trading strategies you create on the platform
- By sharing strategies on the marketplace, you grant the licenses described in Section 9.2
- You may not reproduce, distribute, publicly display, create derivative works of, or commercially exploit the platform or its components without express written permission from Sylum
- The YorN name, logo, and associated branding are trademarks of Sylum. You may not use these marks without our prior written consent
- All feedback, suggestions, and ideas you submit to us regarding the Service become the property of Sylum, and we may use them without obligation or compensation to you
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SYLUM SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Sylum does not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from the Service will be accurate, reliable, or meet your expectations
- Any AI agent, strategy, simulation, or analytical output will produce profitable trading results
- Market data, prices, or other information provided through the Service will be accurate, complete, or current
- Defects in the Service will be corrected
- The Service will be compatible with any particular hardware, software, or network configuration
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL SYLUM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SYLUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
- SYLUM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID SYLUM IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100)
- SYLUM IS NOT LIABLE FOR ANY TRADING LOSSES, FINANCIAL LOSSES, OR OPPORTUNITY COSTS ARISING FROM: AI AGENT ERRORS OR UNEXPECTED BEHAVIOR; SELF-LEARNING MUTATIONS; EXCHANGE DOWNTIME OR API FAILURES; NETWORK DISRUPTIONS; DATA INACCURACIES; MARKET VOLATILITY; REGULATORY CHANGES; OR ANY OTHER CAUSE, WHETHER WITHIN OR OUTSIDE SYLUM'S CONTROL
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Sylum, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your use of the Service, including all trades executed by agents on your behalf
- Your violation of these Terms or any applicable law or regulation
- Your violation of any rights of a third party
- Any content, data, or code you submit, upload, or transmit through the Service
- Your use or misuse of exchange API credentials or LLM provider API keys
- Any marketplace strategies you publish
15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
15.1 Binding Arbitration
You and Sylum agree that any dispute, claim, or controversy arising out of or relating to these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, or as otherwise mutually agreed. The arbitration shall be conducted by a single arbitrator and shall take place remotely via video conference, unless otherwise agreed by the parties.
15.2 Class Action Waiver
YOU AND SYLUM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. The arbitrator may not consolidate more than one person's claims, and may not preside over any form of class, collective, or representative proceeding.
15.3 Small Claims Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
15.4 Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@yorn.ai within 30 days of creating your account. If you opt out, you and Sylum agree to submit to the personal jurisdiction of the state and federal courts located in the State of Delaware for the resolution of any disputes.
16. Force Majeure
Sylum shall not be liable for any failure or delay in performing any obligation under these Terms where such failure or delay arises from causes beyond our reasonable control, including but not limited to: acts of God; natural disasters; pandemic or epidemic; war, terrorism, or civil unrest; government actions or regulations; exchange outages or policy changes; power outages; internet or telecommunications failures; cyberattacks or security breaches by third parties; or any other cause not within our reasonable control.
17. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including but not limited to:
- Violation of these Terms or our Acceptable Use policy
- Fraudulent, abusive, or illegal activity
- Non-payment of subscription fees
- Extended account inactivity (12 months or more)
- Conduct that poses a security risk to the Service or other users
Upon termination: (a) your right to use the Service ceases immediately; (b) all running agents are stopped; (c) you remain responsible for any open positions on connected exchanges; (d) you may request an export of your data within 30 days; and (e) after the 30-day period, your data may be permanently and irreversibly deleted.
Sections 4, 5, 12, 13, 14, 15, and 19 of these Terms shall survive any termination or expiration of these Terms.
18. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by: (a) posting the revised Terms on the Service with a new "Last updated" date; and (b) sending notice to the email address associated with your account. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and close your account.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. Subject to the arbitration agreement in Section 15, the state and federal courts located in the State of Delaware shall have exclusive jurisdiction over any disputes arising from these Terms.
20. Electronic Communications
By creating an account, you consent to receive electronic communications from us, including emails, push notifications, and in-app messages. These communications may include: account notifications, security alerts, billing information, product updates, and marketing messages. You may opt out of marketing communications at any time through your account settings, but you may not opt out of transactional or security-related communications while your account remains active.
21. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
22. Entire Agreement
These Terms, together with the Privacy Policy and Risk Disclosure Statement, constitute the entire agreement between you and Sylum regarding the Service, and supersede all prior agreements, understandings, representations, and warranties, both written and oral, regarding the Service.
